Board Structure Overview

When a CBD is passed, a 501(c)3 non-profit organization is created to collect assessments and implement services. A Board of Directors must be recruited to govern the CBD. In developing a governance structure the Steering Committee followed a stakeholders model to ensure representation from all key constituencies and areas of the District.

Board Structure:

  • Entity, not an individual (except residents), holds the seat and designates a representative and an alternate to attend meetings; residents may also designate an alternate
  • Staggered, 3-year terms; members may serve up to two consecutive 3-year terms
  • Meetings are monthly for the first year; bi-monthly or quarterly in following years
  • Property owners must be fully paid into the CBD
  • Goal – 40% non-property owners
  • Up to 28 Directors
    o 14% – At Large
    o 14% – Community Organizations
    o 14% – Institutions
    o 14% – Non-profit Arts
    o 14% – Residents
    o 30% – Commercial
