Board Structure Overview
When a CBD is passed, a 501(c)3 non-profit organization is created to collect assessments and implement services. A Board of Directors must be recruited to govern the CBD. In developing a governance structure the Steering Committee followed a stakeholders model to ensure representation from all key constituencies and areas of the District.
Board Structure:
- Entity, not an individual (except residents), holds the seat and designates a representative and an alternate to attend meetings; residents may also designate an alternate
- Staggered, 3-year terms; members may serve up to two consecutive 3-year terms
- Meetings are monthly for the first year; bi-monthly or quarterly in following years
- Property owners must be fully paid into the CBD
- Goal – 40% non-property owners
- Up to 28 Directors
